Terms and Conditions | “Battery Box” Subscription Service

1. Agreement to Terms

These Terms and Conditions (“Terms”) govern your (“Subscriber,” “you,” or “your”) participation in the Battery Box subscription service (“Service”) provided by EACR Inc. (“EACR,” “we,” “us,” or “our”). By enrolling in or using the Service, you agree to be bound by these Terms.

2. Fees & Payment Terms

  1. Subscription Fee.
    1. Promotional Rate: $149 for the first twelve (12) months.
    2. Standard Rate: $249 per year for each subsequent renewal term.
  2. What the Fee Covers. The annual fee includes Battery Box rental, unlimited Pickups, transportation, and recycling services.
  3. Invoicing & Payment. Fees are invoiced in advance and due net-30 days from the invoice date. 
  4. Fee Adjustments. The Standard Rate may be modified for future renewal terms with at least forty-five (45) days’ prior written notice.

3. Service Term, Renewal & Cancellation

  1. Initial Term. The subscription begins on the date EACR confirms your order and continues for twelve (12) months (“Initial Term”).
  2. Auto-Renewal. After the Initial Term, the subscription renews automatically for successive one-year periods unless cancelled. The payment method on-file will be automatically charged the Standard Rate approximately thirty (30) calendar days prior to the Term ending, unless a notice of cancellation is provided by the party.
  3. Cancellation by Either Party. Either party may cancel the subscription at any time, for any reason, by providing thirty (30) days’ written notice to the other party. Cancellation takes effect at the end of the notice period. Pre-paid fees are non-refundable. A final Pickup or return of the empty Battery Box must occur within the notice period.

4. Definitions

  1. Battery Box. A durable, pre-labeled container supplied by EACR for the collection of e-bike and e-scooter batteries.
  2. Batteries. Batteries removed from e-bikes or e-scooters. 
  3. Pickup. The collection of Batteries within the Battery Box by EACR or its carrier.
  4. Site. The Subscriber’s address where the Battery Box is stored, and Pickups occur.

5. Packaging & Storage Requirements

  1. Inspection. Inspect Batteries to ensure they are not swollen, leaking, punctured, or thermally damaged.
  2. Isolating Terminals. Cover terminals on Batteries with non-conductive tape (electric or clear tape) to ensure that the terminals of Batteries are not in contact with other Batteries.
  3. Storage. Keep the Battery Box upright indoors, away from heat sources and ignition points.

6. Prohibited Materials

  1. The following batteries are prohibited from being placed in the Battery Box
    1. Punctured, swollen, leaking, or thermally damaged batteries.
    2. Batteries from other devices (laptops, power tools, etc.)
  2. EACR may refuse Pickup of any Battery Box containing Prohibited Materials and invoice you for extra handling or disposal costs.

7. Pickup & Transfer of Ownership

  1. Unlimited Pickups. The Service includes unlimited Pickups at no additional charge provided the Battery Box is full when a Pickup request is made.
  2. Scheduling. Request a Pickup when the Battery Box is full by calling or emailing EACR and requesting a Pickup.
  3. Access. Provide safe, unobstructed access on the scheduled date. Missed Pickups due to inaccessibility may incur fees.
  4. Transfer of Ownership & Risk. Title to and risk of loss for Batteries pass to EACR upon physical receipt.

8. Subscription Enrollment

  1. Registration. Enrollment requires completion of EACR’s order form and acceptance of these Terms.
  2. Delivery of Battery Box. Upon approval, EACR will deliver an empty Battery Box to your Site. Ownership of the container remains with EACR.
  3. Account Administration. You must designate an authorized contact to schedule Pickups, receive notices, and ensure on-site compliance.

9. Compliance & Environmental Responsibility

  1. EACR Obligations. EACR will recycle Batteries in accordance with all applicable regulations.
  2. Subscriber Obligations. You warrant that all Batteries placed in the Battery Box are properly packaged.
  3. Documentation. Upon request, EACR will provide documentation confirming proper recycling of the Batteries.
  4. Licensing. EACR holds all necessary licenses and permits to legally recycle all types of Batteries.

10. Disclaimer, Indemnification, & Limitation of Liability

  1. Disclaimer. EXCEPT AS EXPRESSLY PROVIDED, EACR MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED.
  2. Indemnification. You agree to defend, indemnify, and hold harmless EACR and its affiliates against all claims, damages, liabilities, costs, and expenses arising from (a) your breach of these Terms, (b) your negligence or misconduct, or (c) your violation of applicable law.
  3. Limitation of Liability. To the extent permitted by law, EACR’s total liability shall not exceed the amount you paid for the service during the twelve (12) months preceding the claim. EACR shall not be liable for indirect or consequential damages.

11. Modifications to Terms

  1. EACR may update these Terms. Material changes take effect thirty (30) days after posting or written notice. Continued use constitutes acceptance.

12. Governing Law & Dispute Resolution

  1. These terms are governed by New Jersey law. Disputes not resolved informally shall be litigated exclusively in New Jersey state or federal courts.

13. Entire Agreement & Severability

  1. These terms and referenced policies constitute the entire agreement regarding the Service and supersede any prior communications.
  2. If any provision is held unenforceable, the remaining provisions remain in effect.
